If copies of these GTC have been made in languages other than German, only the German version is binding for anny and the provider.
The anny GmbH offers resource providers the opportunity to process online payments from end customers directly via the anny platform.
This supplementary agreement applies to the use of online payment processing by the provider and supplements the general terms and conditions of anny. By using the online payment processing, the provider declares his agreement with these provisions.
Any terms and conditions of the supplier deviating from this supplementary agreement shall not apply unless they have been expressly confirmed in writing by anny\.
This Supplementary Agreement is expressly addressed to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), associations, institutions under public law and special funds under public law.
§ 1 Setting up a Stripe Connect account
- anny cooperates with the payment service provider Stripe Inc. (hereinafter: "Stripe") for the processing of online payments.
- To use online payment processing, the provider must set up a Stripe Connect account. As part of the registration process, the provider must accept the Stripe Connect Agreements (https://stripe.com/legal/connect-account).
- The Provider undertakes to submit all data required as part of the registration process to Stripe completely and truthfully. Stripe carries out a verification of the data transmitted by the provider at its own discretion. A verification of the data by anny does not take place. anny does not assume any liability if the provider provides false data. § 8 clause 2 of this supplementary agreement remains unaffected.
- Access to the Provider's Stripe Connect Account is provided by means of two-factor authentication via the platform of anny. The Provider undertakes to adequately protect access to its Stripe Connect Account. anny assumes no liability in the event of unauthorized access by third parties. § 8 item 2 of this supplementary agreement remains unaffected.
§ 2 Management of funds
- After successfully setting up his Stripe Connect account, the provider has a Stripe Express account through which funds can be managed and disbursed.
- The Provider authorizes anny to manage funds via its Stripe Express account, i.e. to collect, credit and pay out amounts. anny does not assume any payment risk of the end customer. The contractual partner of the end customer remains the provider.
- Payment transaction data, such as IBAN or credit card numbers, are stored only by Stripe and not by anny for security reasons.
- When a payment is received, the respective amount will be credited to the Provider's Stripe Express account minus the fees according to § 3 Sec.1 of this Agreement. In case of asynchronous payment methods, such as bank transfer or direct debit, the receipt of payment may be delayed for several days.
- The Provider can view the account balance of his Stripe Express account both in his Stripe Connect account and in the platform of anny\. Due to synchronization errors, there may be a delay in displaying the account balance in the anny platform.
- The disbursement of funds shall be governed by § 4 of this Agreement.
§ 3 Fees
- anny receives a fee plus VAT for each payment processed. The amount of the fee depends on the scope of functions booked by the provider.
- The fee according to item 1 will be automatically deducted from the funds to be paid to the Provider according to § 4 item 1.
- With each disbursement of funds according to § 4 item 1, the Provider shall receive an invoice for the fees according to item 1. § 8 items 6 and 7 of the General Terms and Conditions shall apply accordingly.
§ 4 Disbursement of funds
- The payout of the funds managed in the provider's Stripe Express account is made to the provider's bank account stored in the Stripe Connect account. This bank account can be changed by the Provider at any time. anny does not know the Provider's bank account and assumes no liability in the event of incorrect information. § 8 item 2 of this supplementary agreement remains unaffected.
- As a rule, funds are paid out one day after the start of the booking date booked via the anny platform. However, in order to ensure the availability of the managed funds for any refunds, a payout will be made no earlier than 7 days after the payment has been received in the Provider's Stripe Express account ("payout maturity"). The payout will be made no later than 90 days after receipt of payment, regardless of the booking date.
- The provider may make an arrangement that deviates from Clause 2, Sentence 1. The disbursement of funds ready for disbursement shall then take place either automatically (daily, weekly or monthly) or manually.
- The provider has the option to download a tabular account statement of the payments included in the payout after each payout.
§ 5 Refunds
- Both end customers and the provider can cancel or adjust bookings made via anny until the start of the booking. In the event of a cancellation, the refund of payments already made is governed by the cancellation conditions stored by the provider in his anny account. If the provider has not specified a cancellation fee in its cancellation conditions, payments already made will be refunded in full to the end customer in the event of a cancellation.
- Fees according to § 3 item 1 of this agreement will not be refunded to the provider in case of cancellation or rebooking. If the original payment amount is not sufficient to cover the refund and the fees according to § 3 item 1, the difference will be collected from the Provider's Stripe Express account.
- If the credit balance of the Provider's Stripe Express account is not sufficient to cover the fees pursuant to § 3 Clause 1, a refund to the Provider's end customers shall not take place. anny shall not assume any liability for any claims of the end customer against the Provider in this case. § 8 item 2 of this supplementary agreement remains unaffected.
- anny assumes no liability for refunds initiated by the provider or end customer. § 8 item 2 of this supplementary agreement remains unaffected.
§ 6 Contestation of payments
- End customers may have the option to dispute debits via their payment institution. In this case, anny is entitled to object to the challenge on behalf of the provider. However, anny is under no obligation to object to the challenge.
- In the event of a successful challenge, the debited amounts will be charged back to the end customer from the provider's Stripe Express account. If the balance of the Stripe Express account is not sufficient for this purpose, the provider is obliged to clear the negative balance within 7 days.
- anny reserves the right to charge the provider a processing fee of up to 15 EUR net in the event of a challenge.
- anny assumes no liability for payment defaults in the event of a challenge. § 8 item 2 of this supplementary agreement remains unaffected.
§ 7 Currencies
- anny supports the processing of payments in EUR, GBP, CHF and USD.
- To enable the withdrawal of managed funds without currency conversion, the provider must deposit a bank account in the appropriate currency in their Stripe Express dashboard.
§ 8 Disclaimer
- As far as a liability of anny is excluded or limited according to this supplementary agreement, this also applies to the liability of anny for its legal representatives, vicarious agents and assistants as well as their personal liability.
- As far as a liability of anny is excluded or limited according to this supplementary agreement, this does not apply to damages from the injury of the life, the body or the health as well as other damages, which are based on an intentional or roughly negligent breach of duty of anny or a legal representative or executing aide of anny.
